3. Use of the Website

7. Returns, Cancellations and Refunds
Trade Customers
● Goods may be returned within 30 days of delivery provided they are unused,
undamaged, and in resaleable condition, with no signs of installation or use.
● All returns are subject to inspection. If, in our reasonable opinion, goods are
damaged, used, incomplete, or otherwise unsuitable for resale, no credit will be
issued.
● Acceptance of returned goods and the decision to issue credit is entirely at our
discretion.
After 30 Days

● Where goods are accepted for return after 30 days, any refund or credit will be
subject to:
○ A restocking charge, calculated as a percentage of the product value
○ All associated transport, handling, and logistics costs
● We reserve the right to refuse any return where it would compromise staff safety or
operational requirements.
Consumers
If you are a consumer purchasing online, you may have rights under the Consumer
Contracts Regulations 2013. Please note that many roofing and building materials are
exempt from cancellation rights once delivered due to their nature.
Faulty or incorrect Goods must be reported within a reasonable time.

9. Limitation of Liability
To the fullest extent permitted by law:

Nothing in these Terms limits liability for death or personal injury caused by negligence or for
fraud.

10. Trade Accounts, Credit Limits and Payment Terms
Trade Account Applications
● All trade account applications are subject to approval.
● We reserve the right to carry out necessary credit, identity, and due‑diligence
checks, including credit reference checks where appropriate.

Applicants may be required to provide credible trade references, proof of trading
history, or other evidence demonstrating that they are a reputable tradesperson or
business with a history of cooperation and timely payment.

Credit Limits
● Credit limits are determined on an individual company basis and may take into
account factors including:
○ Length of trading history with Roofing Supply Centre
○ Payment history and conduct
○ Order volume and frequency
○ Overall creditworthiness and risk profile

● Credit limits may be reviewed, adjusted, increased, reduced, or withdrawn at any
time at our discretion.

Payment Terms
● Approved trade account customers must settle invoices by the end of the month
following the month of invoice.
● Late payments will be monitored, extended where appropriate, formally chased, and
escalated where necessary.
● Persistent late payment or non‑payment may result in suspension of the account,
withdrawal of credit facilities, or refusal of further supply.

Non‑Payment and Legal Enforcement
● Outstanding trade debts may be insured where applicable.
● Where payment is not made following reasonable requests, we reserve the right to
pursue formal debt recovery, including instruction of solicitors and legal
proceedings.
● Any enforcement action will be carried out lawfully and fairly, in accordance with
applicable legislation, to protect Roofing Supply Centre’s reputation and commercial
standing.
● Customers retain all rights available to them under the laws of England and Wales.

11. Delivery Arrangements
● Delivery arrangements must be agreed at the time of sale.
● Customers must provide accurate information including:
○ Delivery location
○ Billing address
○ Drop‑off point
○ Suitable access routes and site restrictions

● If delivery cannot be completed due to access, safety, or logistical issues, delivery
will be rescheduled and discussed with the customer to ensure clarity and
agreement by both parties.

11. Product Suitability, Installation and Safety
Disclaimer
● Goods supplied are intended for use by competent professionals or individuals with
appropriate knowledge and experience.
● We do not provide installation services or supervision and accept no responsibility for
installation methods, workmanship, or site conditions.
● You are responsible for ensuring:
○ Goods are suitable for the intended purpose and environment
○ Installation complies with manufacturer guidance, industry standards, and
applicable health and safety regulations
○ Appropriate personal protective equipment (PPE) and safety measures are
used

● Product performance, lifespan, and sustainability depend on correct storage,
handling, installation, and maintenance, all of which are outside our control.

12. Force Majeure
We shall not be liable for failure or delay caused by events beyond our reasonable control,
including supply chain disruption, extreme weather, strikes, or acts of God.

11. Intellectual Property
All content on the Website, including text, images, logos, and branding, is owned by or
licensed to us and may not be used without permission.

12. Data Protection
Personal data is processed in accordance with our Privacy Policy, which forms part of
these Terms.

13. Retention of Title (ROT)
Ownership of Goods
● Legal and beneficial ownership of all Goods supplied by Roofing Supply Centre shall
remain with us until payment has been received in full for:
○ The Goods in question; and
○ Any other sums owed by the Customer to us on any account.

Risk
● Risk in the Goods shall pass to the Customer upon delivery, but title shall not pass
until full payment has been made.

Customer Obligations
Until title passes to the Customer:
● The Customer must hold the Goods on trust as our fiduciary agent and bailee
● The Goods must be stored separately and clearly identifiable as our property where
reasonably practicable
● The Customer must not pledge, charge, or otherwise encumber the Goods
● The Customer must not resell, incorporate, install, or otherwise use the Goods in a
way that prevents their recovery without our prior written consent

Right of Repossession
● If payment is overdue or the Customer becomes insolvent, enters administration,
liquidation, or any form of insolvency procedure, we reserve the right to reclaim,
recover, or repossess the Goods.
● The Customer irrevocably grants us and our agents the right to enter any premises
where the Goods are stored for the purpose of recovery, subject to applicable law.
Incorporation into Other Documents
● This Retention of Title clause forms part of all contracts, quotations, order
confirmations, delivery notes, and invoices issued by Roofing Supply Centre.
● Acceptance of delivery of the Goods shall constitute acceptance of this clause.

14. Statutory Interest and Debt Recovery Costs
Late Payment Interest

● Where the Customer is purchasing in the course of business, overdue sums shall
attract statutory interest in accordance with the Late Payment of Commercial
Debts (Interest) Act 1998.
● Statutory interest shall accrue at a rate of 8% per annum above the Bank of
England base rate, calculated on a daily basis, from the due date until payment is
made in full.

Debt Recovery and Compensation
● In addition to interest, we reserve the right to recover fixed compensation for late
payment, as permitted by the Act:
○ £40 for debts under £1,000
○ £70 for debts between £1,000 and £10,000
○ £100 for debts over £10,000
● Where reasonable recovery costs exceed the fixed compensation, we reserve the
right to recover additional debt recovery costs, including legal fees, solicitor’s
costs, and enforcement expenses.
Application of the Act
● These provisions apply to business-to-business transactions only and do not
apply to consumer contracts.
● Interest shall accrue from the payment due date, or where applicable, in accordance
with statutory time limits following delivery, invoice, or acceptance.
The exercise of these rights does not affect any other remedies available to us.

14. Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of
England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.

16. Changes to These Terms
We reserve the right to amend these Terms and Conditions at any time. Updated Terms will
be published on the Website.
